Adviser Agreement

This Adviser Agreement ("Agreement") sets out the terms on which a financial adviser or firm ("you", "your") subscribes to be listed in, and to receive referrals through, the Helena.finance adviser directory. It is the agreement between you and us. By ticking the acceptance box during sign up and completing payment, you agree to it.

1. Who we are

Helena.finance is operated by Independent Check Ltd (company number 08302295), registered in England and Wales at 2 Raleigh Walk, Brigantine Place("we", "us", "our"). You can reach us at info@independentcheck.co.uk.

2. Who Helena is

Helena is our automated digital companion. She provides general, educational financial information to women navigating major life changes and does not give regulated financial advice. Where a user is in your area and wants professional help, Helena may refer her to you. We operate the platform, the directory and the referral process.

3. What you get

  • A profile listing in our adviser directory and on the map.
  • Referrals from Helena and enquiries from users in your postcode area.
  • Exclusivity in your area, subject to clause 6 (premium areas may have two advisers).

4. Fees

  • The subscription fee is £40 per month, billed monthly in advance through our payment processor, Stripe.
  • VAT: no VAT is currently charged on the fee. If VAT becomes chargeable, we may add it to the fee on reasonable prior notice.
  • Your listing and referrals depend on your payment being up to date. If a payment fails, we may suspend or remove your listing until it is resolved.

5. Price protection

We will not increase the £40 monthly fee except once in any 12-month period, and any increase is capped at the rise in the UK Consumer Prices Index (CPI) over the preceding 12 months. We will give you reasonable notice of any increase (separately from any VAT change under clause 4).

6. Exclusivity and fair referrals

  • We operate one adviser per postcode area. While your subscription is active and paid, we will not list another adviser in your area beyond the limit for that area.
  • Certain higher-population premium areas allow two advisers. Where an area has two advisers, referrals are shared on a fair alternating basis: Helena keeps track of which adviser she referred last and refers the other next, so enquiries rotate between you over time. The user always makes the final choice of who to contact.
  • Exclusivity relates to directory listings and Helena's referrals only. It does not restrict users from finding or choosing any adviser by other means.

7. Who is responsible for what

We are responsible for running the platform, your listing, the referral process, taking payment and keeping the data we hold secure.

You are responsible for paying the fee and for following up and handling the enquiries you receive. Importantly, you remain solely responsible for any financial advice or regulated activity you carry out for clients introduced through Helena.finance. We are an information and referral service; we are not a party to, and accept no responsibility for, the advice you give or the services you provide to your clients.

8. Your warranties

You confirm that, for as long as this Agreement continues:

  • You are authorised and regulated by the Financial Conduct Authority (FCA), or are an appointed representative of an FCA-authorised firm, and will maintain that status. You will tell us promptly if it changes or is lost.
  • You hold valid professional indemnity insurance appropriate to your activities.
  • The information in your listing is accurate and not misleading, and you will keep it up to date.
  • You will respond to enquiries professionally, promptly and in line with FCA rules and applicable law.

9. Data protection

We process personal data in line with our Privacy Policy. When we pass you a user's enquiry, you become an independent data controller of that enquiry data and must handle it in accordance with UK GDPR and the Data Protection Act 2018 — using it only to respond to the enquiry and the client relationship that follows. You are responsible for your own privacy notices and lawful basis for your processing.

10. Minimum term and cancellation

  • Minimum term: this Agreement has a minimum term of 12 months from the date your listing is activated. You agree to pay the monthly fee for the full minimum term, and fees already paid are non-refundable.
  • After the minimum term: the subscription continues on a rolling monthly basis. You may cancel at any time, with cancellation taking effect at the end of your current billing month.

11. Termination by us

We may suspend or end this Agreement and remove your listing if you fail to pay, lose your FCA authorisation, breach this Agreement, or act in a way that we reasonably consider harmful to users or to Helena.finance. We will refund any fee you have paid for a period after a termination that is not due to your breach or non-payment.

12. Liability

Nothing in this Agreement limits liability that cannot be limited by law. Subject to that, we are not liable to you for loss of profit, business or referrals, and our total liability to you in any 12-month period is limited to the fees you paid us in that period. You will indemnify us against claims arising from the advice or services you provide to your clients, or from your breach of this Agreement.

13. Changes to this Agreement

We may update this Agreement from time to time. We will give you reasonable notice of material changes. Fee changes are governed by clauses 4 and 5.

14. Governing law

This Agreement is governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
